Terms & Conditions

These terms and conditions (the “Terms”) govern your access to and use of the Framatics website and everything on it (the “Site”). They are an agreement between you and Framatics (“Framatics”, “we”, “us”, “our”), based in Atlanta, Georgia.
Read Section 1 before anything else. The Site is a prototype. It is not trading, nothing on it is licensed, and no payment can be taken through it. Section 1 explains what that means and it takes priority over every other section for as long as it remains true.
By accessing or using the Site you accept these Terms. If you do not accept them, do not use the Site. We may revise these Terms by posting a new version on this page; the date above is when they last changed, and continuing to use the Site after that date is your acceptance of the change.
1. Prototype status: no licence, no sales
The Site is a working prototype. It exists to demonstrate a product concept and a shopping experience to prospective partners, including college and university licensing offices, athletic departments and publishers. It is not a live retail store.
Nothing shown on the Site is licensed. Every team name, school name, nickname, logo, uniform, colourway, newspaper masthead, front page and championship reference appearing on the Site is used for demonstration purposes only. Framatics holds no licence, permission, sponsorship or endorsement from any school, athletic conference, league, team, publisher, photographer or athlete, and none is implied by anything on the Site.
Nothing on the Site is offered for sale. Payment processing is disabled and there is no working checkout. Prices, availability counts, shipping options, delivery estimates, guarantees, reward balances and reviews shown anywhere on the Site are illustrative sample data. They are not offers, they are not commitments, and they are not representations of fact. We do not accept orders, we do not take payment, and no contract of sale can be formed through the Site in its current state.
If you believe you have been charged by or on behalf of this Site, that transaction did not originate from us. Contact us at framatics.us@gmail.com immediately so we can help you report it.
The remaining sections are written so that they continue to apply if and when the Site begins trading. Until that happens, this section controls: wherever another section describes orders, prices, payment, shipping, returns or guarantees, it describes intended future operation, not anything available today.
2. Intellectual property, trademarks and affiliation
Framatics is not affiliated with, endorsed by, sponsored by, licensed by or connected to any college, university, athletic department, athletic conference, professional league, team, newspaper, publisher, photographer or athlete referenced on or depicted by the Site.
All third-party names, nicknames, logos, marks, trade dress, uniforms, photographs, mastheads and newspaper front pages remain the sole property of their respective owners. They appear on the Site only to illustrate what a finished, properly licensed product would look like. Nothing on the Site grants, transfers or licenses to you any right in those marks or works, whether by implication, estoppel or otherwise.
The Site’s own design, layout, code, original photography, illustrations and written copy belong to Framatics. You may view the Site and print pages from it for your own personal, non-commercial reference. You may not copy, scrape, mirror, republish, frame, sell, license, transmit or create derivative works from the Site or its contents without our prior written permission, and you may not remove any copyright, trademark or other proprietary notice from it.
You may not use the Site, its contents or any data obtained from it to train, fine-tune or evaluate any machine learning or artificial intelligence system.
3. Copyright, trademark and takedown requests
If you hold rights in anything shown on the Site and you want it removed or changed, email framatics.us@gmail.com with “Takedown” in the subject line. Please include:
- your name, organisation and contact details, and the rights holder you act for;
- identification of the work, mark or likeness you own;
- the page address and a description of where the material appears on the Site;
- a statement that you believe in good faith that the use is not authorised by you, your agent or the law; and
- a statement that the information in your notice is accurate and that you are authorised to act on the rights holder’s behalf.
We will remove or replace the material promptly on receiving a good-faith request. Because the Site is a demonstration rather than a commercial platform, our default is to take material down rather than to contest it. A takedown is not an admission of liability by either side.
If you are a licensing office and would rather discuss a licence than send a takedown, use the same address, because that is the conversation this prototype was built to start.
4. Permitted use of the Site
Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable and revocable privilege to access and use the Site for your own non-commercial purposes. This privilege does not include any resale or commercial exploitation of the Site or its contents.
We may withdraw, suspend or restrict access to the Site, in whole or in part, at any time and for any reason, without notice and without liability to you. Nothing in these Terms is a representation that the Site will be available to you at any given time, or at all.
You are responsible for arranging your own access to the Site and for ensuring that everyone who uses it through your connection or account is aware of these Terms and complies with them.
5. Prohibited conduct
You agree that you will not:
- access or attempt to access any part of the Site, or any system or network connected to it, by hacking, credential stuffing, password mining or any other unauthorised means;
- use any robot, spider, scraper, headless browser or other automated means to access, copy, monitor, index or reproduce the Site or any part of it;
- harvest or collect any information about other users or their devices, including names, email addresses or account details;
- upload or transmit any virus, worm, trojan, logic bomb or other malicious code, or otherwise attempt to interfere with, damage, disable or overburden the Site or its infrastructure;
- probe, scan or test the vulnerability of the Site or any connected network, or breach or circumvent any security or authentication measure;
- reverse engineer, decompile or decrypt any part of the Site except to the extent that restriction is prohibited by law;
- frame the Site, or present it or any of its content within another site or application, without our prior written permission;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- use another person’s payment details or personal information;
- post or transmit anything unlawful, infringing, defamatory, harassing, threatening, fraudulent, obscene or otherwise objectionable; or
- use the Site in violation of any applicable local, state, federal or international law, including export control laws.
6. Accounts
Some parts of the Site present account, wishlist or rewards features. In the Site’s current prototype state these are demonstrations of an interface. Wishlist contents are stored only in your own browser, reward balances are sample figures, and no account gives you any entitlement, benefit or balance of any kind.
If you do create an account, you are responsible for keeping your credentials confidential and for all activity that occurs under them. You agree that the information you give us is accurate, current and complete, and that you will tell us promptly at framatics.us@gmail.com if you become aware of any unauthorised use of your account.
You must be at least 18 years old, or the age of majority where you live, to create an account. We may disable any account or identifier at any time, in our sole discretion, including if we believe you have breached these Terms.
7. Product information, pricing and orders
This section describes how the store is intended to operate. It does not take effect while Section 1 applies.
Product descriptions, dimensions, materials, framing options, photography and mockups are provided in good faith but are approximations. Screen rendering of colour and paper stock varies by device and is not a guarantee of the finished article.
Prices would be shown in US dollars and would exclude tax and shipping unless stated otherwise. We would reserve the right to correct pricing, description or availability errors and to cancel any affected order, refunding you in full, including after an order confirmation has been sent and any payment method charged.
An order would be an offer by you to buy. It would be accepted only when we send a dispatch confirmation, not when we send an order acknowledgement. We would reserve the right to decline or limit any order for any reason, including suspected fraud, resale, or restrictions imposed by a licensor.
8. Made to order, guarantees and returns
This section describes how the store is intended to operate. It does not take effect while Section 1 applies.
Framatics prints and frames each piece to order. Production would begin shortly after purchase, so changes and cancellations would only be possible before a piece enters production.
Two distinct promises are described elsewhere on the Site and should not be confused with one another. A 30-day satisfaction guarantee would cover a change of mind and would require the piece to be returned in its original condition. A lifetime guarantee would cover defects in materials and craftsmanship, not accidental damage, misuse, or fading caused by direct sunlight. Full conditions would be set out on the Shipping and Returns page.
Nothing on the Site currently constitutes a guarantee, warranty or promise of service, because nothing is currently being sold.
9. Content you submit
Where the Site invites you to submit reviews, photographs, comments, questions or other material (“User Content”), you remain responsible for it. You confirm that you own it or have the right to submit it, and that it does not infringe anyone else’s rights or break any law.
User Content is treated as non-confidential and non-proprietary. By submitting it you grant Framatics a non-exclusive, royalty-free, worldwide, sublicensable licence to use, reproduce, adapt and display it in connection with the Site and our marketing, for as long as you allow it to remain published.
We may, but are not obliged to, review, moderate, edit, refuse or remove any User Content at our discretion, including anything abusive, fraudulent, unlawful or off-topic. Opinions expressed in User Content are the author’s, not ours, and we do not guarantee their accuracy.
Reviews shown on the Site today are sample data and are not statements by real customers about real purchases.
10. Third-party links and services
The Site may link to, embed or interact with sites and services that we do not own or control, including fonts, analytics, payment providers and social platforms. Those links are provided for convenience and are not an endorsement.
We are not responsible for the content, accuracy, availability, security or privacy practices of any third-party site or service, and we make no representation or warranty about them. If you follow a link away from the Site you do so at your own risk and subject to that third party’s own terms.
11. Disclaimers
THE SITE AND EVERYTHING ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, FRAMATICS DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SITE WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SITE IS ENTIRELY AT YOUR OWN RISK.
Because the Site is a prototype, its content is expressly not warranted to be accurate, complete or current. Sample prices, stock levels, reviews, delivery estimates and reward balances are placeholders and must not be relied on for any purpose.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER FRAMATICS NOR ITS OWNERS, EMPLOYEES, CONTRACTORS, AGENTS OR SUPPLIERS SHALL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU ACTUALLY PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED US DOLLARS (US$100). AS THE SITE TAKES NO PAYMENTS, THAT AMOUNT IS CURRENTLY ZERO.
You are responsible for your own anti-virus protection and for backing up your own data. Nothing in these Terms limits any liability that cannot lawfully be limited, including liability for death or personal injury caused by our negligence, or for fraud.
13. Indemnity
You agree to defend, indemnify and hold harmless Framatics and its owners, employees, contractors and agents from and against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of or relating to your breach of these Terms, your User Content, or your misuse of the Site.
We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with that defence.
14. Governing law and disputes
These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Georgia, United States, without regard to its conflict of laws rules.
You agree that any such dispute shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts. There is no arbitration agreement and no class action waiver between us; if either is ever introduced, it will appear here first and will not apply retrospectively.
We operate the Site from the United States. We make no representation that the Site is appropriate or available for use elsewhere, and if you access it from another location you are responsible for compliance with your own local law.
Any claim arising out of or relating to these Terms or the Site must be brought within one (1) year after it arises, or it is permanently barred, except where a longer period is required by law.
15. Suspension and termination
We may terminate, suspend, change or discontinue your access to the Site, or any part of it, at any time, with or without cause and without notice. These Terms continue to apply to any use you made of the Site before termination.
The sections that by their nature should survive termination, including Sections 2, 11, 12, 13 and 14, survive it.
16. Waiver, severability and entire agreement
No failure or delay by Framatics in exercising any right under these Terms is a waiver of that right, and no single or partial exercise of a right prevents any further exercise of it.
If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be limited or removed to the minimum extent necessary and the remaining provisions shall continue in full force.
These Terms, together with any policy expressly referenced in them, are the entire agreement between you and Framatics regarding the Site, and supersede any earlier understanding on that subject. Where a specific policy conflicts with these Terms, the specific policy prevails for its subject matter, except that Section 1 prevails over everything.
17. Changes to these Terms
We may change these Terms at any time by posting an updated version on this page and revising the “Last updated” date at the top. Changes take effect when posted.
You are expected to check this page from time to time. Your continued use of the Site after a change is posted is your acceptance of it. If you do not accept a change, stop using the Site.
In particular, Section 1 will be rewritten before the Site ever accepts an order. If Section 1 no longer says the Site is a prototype, do not assume the rest of this document is unchanged. Re-read it.
